In brief
AMD announced on September 28, 2026 that it has agreed to acquire World Labs, the San Francisco AI lab co-founded by Dr. Fei-Fei Li, in an all-stock transaction valued at $8.2 billion. Li will join as executive vice president and chief scientist upon close, reporting to CEO Dr. Lisa Su. The deal, AMD's second-largest in company history, is expected to close by year-end, pending regulatory approval, and positions spatial world models as infrastructure AMD needs to understand where its hardware must go next.
The Deal
AMD entered a definitive agreement to acquire World Labs on September 28, 2026 in an all-stock transaction worth approximately $8.2 billion. AMD expects the deal to close by year-end, subject to regulatory approvals and customary closing conditions.
The acquisition is AMD's second-largest in company history, behind only the roughly $50 billion Xilinx purchase that closed in 2022.
Dr. Fei-Fei Li, World Labs co-founder and CEO, will join AMD as executive vice president and chief scientist, reporting directly to CEO Dr. Lisa Su. The World Labs research team will continue AI model work inside AMD after close.
What World Labs Built
World Labs launched out of stealth in September 2024 with $230 million in seed funding led by Andreessen Horowitz, NEA, and Radical Ventures, at a valuation reported above $1 billion. Li co-founded the company alongside Justin Johnson, a former Stanford generative models researcher; Christoph Lassner, who came from Meta Reality Labs and Epic Games and built the Pulsar renderer, a precursor to Gaussian Splatting; and Ben Mildenhall, a Google Research alum who co-created Neural Radiance Fields.
The lab's focus is spatial intelligence: AI systems trained to generate, reconstruct, and simulate interactive 3D environments from text, images, video, and 3D inputs.
Its first commercial product, Marble, became generally available in November 2025 at plans starting at $20 a month, targeting teams in gaming, visual effects, design, and robotics. On September 1, 2026, World Labs released Atlas, an omni world model trained natively across text, images, video, and 3D. Atlas generates scenes at 1440p resolution up to one minute long, reconstructs real-world environments from as few as two photographs, and simulates how a space changes over time.
AMD's Calculation
AMD CEO Lisa Su framed the acquisition in hardware terms. "Building the compute platforms for the next generation of AI requires a deep understanding of how models are evolving," Su said. "Together, we can use that insight to develop the hardware, software and systems that will power the next generation of AI."
The logic is direct: by owning a lab building frontier spatial models, AMD gains firsthand insight into what future workloads will demand in compute, memory bandwidth, and interconnect, years before those demands crystallize in public benchmarks.
The appeal is sharpest in physical AI. As AI pushes into robotics, warehouse simulation, and training on real-world environments, the chip requirements diverge from the dense matrix multiplications that defined the large language model era. Spatial and physical AI tasks are harder to predict from the outside, especially for a hardware company designing two or three chip generations ahead.
A Relationship That Predated the Offer
AMD and World Labs weren't strangers when the deal was announced. AMD participated in World Labs' $1 billion round that closed February 18, 2026, valuing the company at $5 billion. Nvidia, Autodesk (which committed $200 million of the round), Emerson Collective, Fidelity Management & Research, and Sea also invested.
Li appeared at AMD's CES 2026 keynote, and the teams had a working partnership on model training and inference that preceded the announcement.
Seven months later, AMD moved from investor to acquirer, paying roughly 1.6x the February valuation in stock.
What Li Gets
Li's public statement centered on access: "Joining AMD will give our team the resources and engineering depth to accelerate our research and help define the infrastructure needed for the next era of AI."
The chief scientist role at a leading semiconductor company gives the World Labs team a more direct path to shaping the chips on which spatial AI will run. That's a different arrangement from the lab-plus-cloud-partnership model that most frontier AI startups operate under, and one that gives Li's research a direct line into AMD's hardware roadmap.
